Brooks Automation Completes Acquisition of both AutoSimulations, Inc. and Auto-Soft Corporation from Daifuku, Giving Brooks a Worldwide Market Leadership Position

Chelmsford, MA-January 10, 2000-Brooks Automation, Inc. (NASDAQ: BRKS) today announced that it has completed the acquisition of both AutoSimulations Inc.(ASI) and Auto-Soft Corporation (ASC) from Daifuku America Corporation, the US affiliate of Daifuku Co., Ltd. of Japan. The purchase adds two leading automation software companies to the growing family of Brooks' integrated software solutions that optimize tool utilization, cycle time and throughput throughout the semiconductor factory. The deal was structured as a purchase of an enterprise value of approximately $57 million in exchange for cash and Brooks' common stock.

In addition, Brooks and Daifuku intend to establish a strategic alliance that enables both companies to provide solutions to their customers through joint development, joint research and joint distribution of hardware and software products.

Upon completion of these strategic and complementary acquisitions Brooks becomes the largest and most comprehensive provider of automation software for the semiconductor industry with the largest customer software sales and service resources. Brooks' software solutions provide customers with a value proposition that translates into demonstrated improvement in equipment throughput and utilization, process optimization and fab throughput.

AutoSimulations, Inc.
